Terms of Service
These Terms of Service ("Terms") are a contract between you and Fibric Inc. ("Fibric," "we") that governs your access to and use of the Fibric platform, our marketing site, and the products built on it (together, the "Service"). Please read them carefully.
Agreement & acceptance
By creating an account, accessing, or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization. If you do not agree, do not use the Service. Where a separate written agreement (such as an order form or master services agreement) exists between you and Fibric, that agreement controls to the extent it conflicts with these Terms.
The service & accounts
Fibric is the operational layer for the physical world: named operators that sense the systems you connect, reason with a base model, and act under your configured guardrails. We may add, change, or remove features over time.
To use most of the Service you must register an account. You agree to provide accurate information, keep your credentials secure, and remain responsible for all activity under your account and tenant. Notify us promptly at security@fibric.io if you suspect unauthorized access. You must be at least 18 and able to form a binding contract to use the Service.
Plans, billing & the free platform
The core Fibric platform is offered at no charge. Paid plans, integrations, and usage-based features are billed as described at the point of purchase or in your order form. Unless stated otherwise, fees are quoted exclusive of taxes, are non-refundable except where required by law, and are due in advance for the applicable billing period.
We may change pricing prospectively; we will give reasonable notice of changes affecting an active paid plan. If a payment fails or is overdue, we may suspend paid features after notice. You authorize us and our payment processor to charge your designated payment method for amounts due.
Acceptable use
Your use of the Service must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. In particular, operators must stay within their configured guardrails, and you may not use Fibric to act on systems you do not own or are not authorized to control.
Customer data & operators
As between you and Fibric, you own your data — the content, records, and operational data you connect or that operators generate on your behalf ("Customer Data"). You grant us a limited license to process Customer Data solely to provide, secure, and support the Service.
Where Customer Data includes personal data, Fibric processes it as a processor on your documented instructions under our Data Processing Addendum, which forms part of these Terms. Every operator action is single-flight, idempotent, attributable, and written to a receipt; a reseller and tenant identifier rides every event and row, and tenancy is enforced at the data layer so one customer's data is never exposed to another. We do not use Customer Data to train shared models.
Intellectual property
Fibric and its licensors own all rights in the Service, including the platform, kernel, connectors, documentation, and trademarks. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, subject to these Terms. You retain all rights in your Customer Data. If you send us feedback, you grant us a perpetual, royalty-free license to use it to improve the Service. Nothing here transfers ownership of either party's pre-existing intellectual property.
Warranties & disclaimers
Each party warrants that it has the authority to enter these Terms. Except as expressly stated, the Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that operators' outputs will be free of error. You are responsible for the guardrails you configure and for reviewing high-impact actions.
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service. Except for your payment obligations and either party's liability for its indemnity, breach of confidentiality, or willful misconduct, each party's aggregate liability is limited to the greater of the amounts you paid Fibric in the twelve months before the claim or one hundred US dollars. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
Indemnification
You will defend and indemnify Fibric against third-party claims arising from your Customer Data, your configuration of operators, or your use of the Service in violation of these Terms or the law. Fibric will defend and indemnify you against third-party claims that the unmodified Service, as provided by us, infringes that party's intellectual property rights. The indemnifying party's obligations are conditioned on prompt notice, sole control of the defense, and reasonable cooperation.
Term & termination
These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate access if you materially breach these Terms or the Acceptable Use Policy, if required by law, or to protect the Service or other customers. On termination, your right to use the Service ends; you may export Customer Data for a limited window, after which we delete or return it per the DPA. Provisions that by their nature should survive termination will survive.
Changes to these Terms
We may update these Terms as the product and law evolve. We will post the new version here and update the date above; for material changes we will give reasonable notice. Your continued use after changes take effect constitutes acceptance.
Governing law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, and the parties submit to the exclusive jurisdiction of the state and federal courts located there, except where mandatory local law provides otherwise. If any provision is held unenforceable, the rest remains in effect.
